This Affiliate Contract (“Contract”) is entered into between Hispanic Anima (“Company”) and The given affiliate (“Affiliate”).

1. Appointment of Affiliate

The Company hereby appoints the Affiliate as a non-exclusive affiliate to promote and market the Company’s products and services as outlined in Exhibit A (the “Products”).

2. Responsibilities of the Affiliate

2.1. The Affiliate shall promote and market the Products using ethical and legal means consistent with industry standards and in compliance with all applicable laws and regulations.

2.2. The Affiliate shall use its best efforts to promote the Products and maximize sales through various marketing channels, including but not limited to, the Affiliate’s website, social media platforms, and email newsletters.

3. Payment Terms

3.1. The Affiliate shall receive a commission of 3% for each sale of the Products made through their unique affiliate code. With time the commission may be considered to go up to 5%.

3.2. Payments shall be made via PayPal when the affiliate decides they want some or all of their commissions as long as the product sold is already delivered to the customer.

3.3. The Affiliate shall be responsible for any transaction fees associated with receiving payments through PayPal.

4. Term and Termination

4.1. This Contract shall commence on the Effective Date and continue until terminated by either party.

4.2. Either party may terminate this Contract immediately in the event of a material breach by the other party and at any moment.

5. Confidentiality

5.1. The Affiliate agrees to keep all confidential information received from the Company confidential and not to disclose such information to any third party without the prior written consent of the Company.

6. Independent Contractor

6.1. The Affiliate is an independent contractor and nothing in this Contract shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties.

7. Governing Law and Dispute Resolution

7.1. Any disputes arising out of or in connection with this Contract shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

IN WITNESS WHEREOF, the parties hereto have executed this Contract as of the Effective on the date that the affiliate agrees to the terms through the affiliate sign up form.
